Terms of sale

1. Scope

These terms govern every sale by Lyotide Scientific LLC, trading as Lyotide Scientific ("Supplier"), to a business purchaser ("Buyer"). Placing an order accepts these terms. Buyer purchase-order terms do not apply unless Supplier accepts them in a signed writing.

2. Eligibility

Supplier sells only to businesses, laboratories, and research organizations. Buyer represents that it is at least 21 years of age, is acting for a business rather than as a consumer, and has provided accurate business documentation. Supplier may decline or cancel any order and may require documentation at any time.

3. Research use only

All products are supplied strictly as laboratory research chemicals. They are not for human or veterinary use, not for use in diagnostic procedures, and are not drugs, food, cosmetics, dietary supplements, or medical devices. They have not been evaluated by the U.S. Food and Drug Administration. Supplier is not a compounding pharmacy and is not an outsourcing facility as those terms are used under U.S. federal law. Buyer will not use, resell, or present any product for human or animal consumption or administration.

4. Unlabeled supply

All product is supplied in unlabeled containers. Supplier applies no label, offers no labeling service, and will not print, source, or approve labels for Buyer at any price. Unprinted label stock, where offered, is supplied as unprinted material only. Buyer is solely responsible for producing and applying all labeling.

5. Manufacturing partners; third-party process certification (*)

Supplier is a wholesale distributor of research chemicals. Supplier does not operate synthetic production lines, does not itself manufacture the peptides offered for sale, and does not engage SGS, Intertek, or any other certification body as Supplier’s own auditor of any manufacturing floor. Product is sourced under commercial supply contracts from one or more independent, high-throughput manufacturing entities (each, a “Manufacturing Partner”).

As a material condition of those supply contracts, each Manufacturing Partner represents, warrants, and covenants to Supplier—and Supplier relies on such representations without independent verification of every audit event—that (a) the Partner maintains documented quality-management and Good Manufacturing Practice frameworks applicable to its facilities and workflows; (b) the Partner obtains and maintains process and/or quality-system certification of the kind customarily issued following initial and surveillance (including unannounced) audits by internationally recognized certification and conformity-assessment bodies, including without limitation bodies of the class exemplified by SGS and Intertek (the “Named Bodies”); (c) the Partner subjects its manufacturing procedures to such Named Bodies’ periodic and random verification as a condition of obtaining, renewing, and retaining the certifications the Partner holds out to Supplier; and (d) the Partner will notify Supplier of material suspension, withdrawal, or material scope reduction of any such certification of which the Partner is aware and that is material to product supplied to Supplier.

References on Supplier’s website, catalogs, quotations, order acknowledgements, packing lists, certificates of analysis coversheets, or other commercial communications to SGS, Intertek, or any other Named Body—including any use of an asterisk (*) adjacent to such a name, and including any reproduction of a Named Body’s wordmark, logo, or other trademark—are solely references to the class of certification bodies Manufacturing Partners have represented to Supplier that they engage for the certifications described above. Such wordmarks and logos are trademarks of their respective owners and are used solely for identification; no sponsorship, endorsement, or affiliation by any Named Body is claimed or implied. Such references (i) do not constitute a representation by Supplier that Supplier has retained, instructed, or paid any Named Body; (ii) do not constitute a representation that any Named Body has audited, inspected, certified, or endorsed Supplier, Supplier’s storefront, or any particular lot of product sold hereunder; (iii) do not incorporate any Named Body’s standards, marks, or certificates by reference into this contract except to the extent a Manufacturing Partner’s contractual representation to Supplier is recited herein; and (iv) confer no third-party beneficiary rights on Buyer or any other person as against any Named Body.

Supplier does not warrant that any Manufacturing Partner’s certification was valid on the date of synthesis of any given lot, that any unannounced audit occurred with respect to any given lot, or that any Named Body would reach the same conclusions Buyer’s own laboratory would reach upon intake testing. Certificates of analysis supplied with product remain manufacturer-origin analytical records of the kind described in Section 11 and do not prove process certification. Buyer’s sole warranty and exclusive remedy with respect to product remain those stated in Sections 11 and 12. Nothing in this Section 5 enlarges Supplier’s warranty, creates a warranty of fitness for any particular manufacturing or regulatory purpose, or relieves Buyer of the independent verification obligations in Section 6.

6. Resale, labeling, and Buyer verification

Buyer may resell product under its own brand subject to the following, each of which is a material condition of sale:

  • Buyer will independently verify the identity, purity, and suitability of each lot before applying its own label or reselling it. Supplier documentation, including any certificate of analysis, is supplied for reference and does not discharge this obligation or constitute Buyer's release decision.
  • Buyer is solely responsible for all labeling, packaging, instructions, warnings, and marketing claims applied to product it resells, and for the evidence supporting them.
  • Buyer will not state or imply that Supplier certified, approved, endorsed, or is responsible for Buyer's finished product.
  • Buyer will not represent any product as safe or effective for use in humans or animals, and will pass equivalent research-use restrictions to its own purchasers.
  • Buyer will maintain traceability from Supplier's lot identifier to Buyer's finished units and will retain those records for five (5) years.

7. Orders, pricing, and minimums

Catalog listings are invitations to order, not offers. Prices, minimum order quantities, and availability may change without notice and are confirmed only on Supplier's order acknowledgement or quotation. Quotations are valid for fourteen (14) days unless stated otherwise. Published tier pricing applies to the listed volume break for a single delivery.

8. Payment

Payment terms are prepayment in full before shipment. Accepted methods are Bitcoin, ACH bank transfer, and domestic wire transfer.

Overdue amounts accrue interest at one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is lower. Prices are exclusive of sales tax, shipping, duties, and insurance. Unless Supplier is required by law to collect and remit a tax, Buyer is responsible for determining and remitting any applicable sales, use, or similar taxes to Buyer’s state or local revenue authority.

9. Shipping, title, and risk

Cutoff
Orders placed before 2:00 PM Mountain Time ship the same business day.
Carrier
USPS, Priority Mail. Tracking is emailed when the label is created.
Cold chain
No. Lyophilized products are stable at ambient temperatures during transit.
Destinations
We ship exclusively within the United States.

Supplier ships to destinations within the United States only. Orders to addresses outside that area are refused at checkout and are not accepted, held, or forwarded. Supplier is not an exporter of record and does not arrange international carriage, customs clearance, or import permits.

Shipment terms are FCA Supplier's facility (Denver, Colorado). Title and risk of loss pass to Buyer on delivery to the carrier. Lead times are estimates, not guarantees, and Supplier is not liable for delay. Where Buyer subsequently exports material it has received, Buyer is the exporter of record and is solely responsible for all export controls, duties, permits, and restrictions that apply.

For the purpose of resolving payment disputes, Buyer agrees that the carrier’s electronic delivery confirmation indicating a status of “Delivered” to the address or zip code provided at checkout constitutes definitive and absolute proof of fulfillment. Buyer waives any right to file an “Item Not Received” (INR) chargeback once the carrier marks the parcel as delivered.

Buyer must inspect each shipment on arrival and notify Supplier in writing of shortage, visible damage, or non-conformance within seven (7) days of delivery. Claims outside that window are waived.

10. Returns

If something arrives damaged, arrives wrong, or arrives with a report that does not match the lot supplied, email sales@lyotide.com within 7 days. We replace it or refund it. For any claim, the whole order comes back to us by tracked shipping within 7 days for inspection first.

Because material passes out of Supplier's control and storage conditions cannot be verified after delivery, product is otherwise non-returnable. Returns are authorized only for damage, wrong goods, or a certificate of analysis that does not match the lot supplied, under the remedy above. Where a return is authorized, it requires a return authorization number issued in advance and return of the entire order within seven (7) days, as set out below. Custom synthesis and made-to-order lots are non-returnable.

Every claim: the whole order comes back first

Any claim or dispute about an order, of any kind — transit damage, shortage, wrong goods, a certificate of analysis that does not match the lot, or a challenge to identity or purity — requires the Buyer to return the entire order of original material, exactly as received (every carton, including any damaged containers and all remaining vials, opened or unopened), via tracked shipping within 7 days of notifying Supplier, for physical inspection. No replacement, refund or credit is issued before the returned order has been received and inspected. The requirements in 10.1 to 10.3 apply in addition to this one.

10.1 Damage claims

A claim for damage must include an unbroken video of the parcel being opened, beginning with the outer carton sealed and the shipping label legible, and continuing without a cut to the affected vials. Still photographs are welcome and are not a substitute for the recording: a photograph of a broken vial does not show which carton it came out of.

Any claim of transit damage requires the Buyer to return the entire 10-vial carton (including the damaged container and all remaining intact vials) via tracked shipping within 7 days for physical inspection, together with the rest of the order as set out above. Where the video and the returned order are received inside those windows, Supplier replaces or refunds after inspecting them.

10.2 Claims that the material is not what was supplied (Pre-approved independent laboratories)

A claim that the material itself is not the compound stated on the certificate of analysis for the lot must be supported by an independent analysis — identity by mass spectrometry and purity by HPLC — submitted within thirty (30) days of delivery. The report must explicitly identify the lot and the vial it was drawn from.

To ensure absolute impartiality and rigorous analytical standards, this independent analysis must be performed by one of the following ten (10) pre-approved, independent third-party laboratories. These laboratories have no commercial relationship with Supplier:

  • MZ Biolabs
  • Janoshik Analytical
  • Cora Science
  • Eurofins Scientific
  • Pace Analytical Services
  • Boston Analytical
  • ARL Bio Pharma
  • Eagle Analytical Services
  • Nelson Labs
  • Emery Pharma

Analytical reports from any laboratory not explicitly listed above, or from any “at-home” testing kit, will be categorically rejected and do not constitute valid evidence for a claim, refund, or payment dispute. Supplier reimburses the full cost of that analysis where an approved lab report supports the claim, in addition to replacement or refund of the affected quantity. A buyer who is right is not out of pocket for proving it.

10.3 How a disputed vial is identified

Material supplied by Supplier is distinguishable from material supplied by anyone else. A claim that a vial was not as supplied, or that its contents were not the compound on the certificate for the lot, is answerable on evidence rather than on assertion. In evaluating a claim, or in responding to a payment dispute, Supplier may rely on any of the following, at its own cost, and Buyer agrees that the results are admissible between the parties.

Done on every returned order

  • Sealed-parcel weighing on film. The return parcel is filmed unopened on a 0.01 g scale with the return tracking label visible, then opened and its contents filmed. Weight, glass wall thickness, flip-off cap finish, stopper colour and mould mark, and lyophilised cake mass are evaluated against the lot’s baseline analytical synthesis specifications, archive spectral profiles, and outbound gravimetric pack-out records.
  • Invisible ultraviolet base mark. Every vial Supplier ships carries a mark on the base of the glass that cannot be seen in normal light and fluoresces under 365 nm ultraviolet light. A returned vial without it was not supplied by Supplier.
  • Tamper-evident tray seal. The ten-vial tray or inner carton is closed with a destructible security seal. Breaking the seal confirms the Buyer has visually inspected all ten vials intact.
  • HPLC against the lot certificate. The contents of a disputed vial are run by HPLC against the certificate of analysis for the lot. A chromatogram that does not match the lot — a blank, an excipient only, or a different compound — establishes that the contents were substituted.

Identification of the material

  • Comparison against the retained sample of the lot. Where a sample of the lot is retained, a disputed vial is analysed against that sample directly, rather than against a general specification.
  • Process-impurity fingerprint. The pattern of truncated, deletion and side-reaction sequences left by one synthesis run is characteristic of that run. It differs between manufacturers and between campaigns at the same manufacturer, and it remains different at purities where the principal peak is indistinguishable. Two vials of the same peptide, at the same stated purity, from two sources, do not carry the same fingerprint.
  • Stable isotope ratio mass spectrometry. The carbon and nitrogen isotope ratios of a peptide record the feedstock the amino acids were made from. They are a property of where and how material was manufactured and cannot be adjusted after the fact.
  • Enantiomeric and racemisation profile. The D/L amino acid ratio recovered after hydrolysis reflects the coupling chemistry and the conditions of a specific synthesis.
  • Elemental and catalyst-residue profile by ICP-MS. Trace metals carried from reagents, resins and equipment are a signature of a manufacturing site, at concentrations far below anything that affects the material.
  • Counterion and residual solvent profile. Salt form by ion chromatography, residual process solvents by headspace gas chromatography — properties of the process that made the material, not of the molecule.
  • Tandem mass spectrometry and peptide mapping. Sequence confirmation, not merely molecular weight, distinguishing a compound from any analog of equal mass.
  • Nuclear magnetic resonance of the lyophilisate. Structural confirmation and detection of undeclared excipients or diluents.
  • Non-destructive identification through the vial. Raman and near-infrared spectroscopy identify contents through intact glass, without breaking a seal a claim may turn on.
  • Water content, fill weight and cake morphology. Karl Fischer titration, gravimetric fill, and the form of the lyophilised cake, which records the freeze-drying cycle that produced it.
  • Subvisible particulate profile. Particle count and size distribution by light obscuration, which follows the filtration and filling line used.

Identification of the container and the pack

  • Glass and closure forensics. Elemental analysis of the vial glass by X-ray fluorescence identifies the tubing manufacturer; the stopper elastomer is identified by infrared spectroscopy; both carry mould and lot coding.
  • Crimp seal and cap lot coding, against the records for the fill.
  • Tamper-evident seal on the outer carton, recorded against the order at pack-out where such a seal is applied, together with any serialised marking applied to the carton or the vials.

The shipment and the claim itself

  • Dispatch and carriage record. Pack-out weight and imaging, the carrier's own weight capture in transit, scan history, delivery-point geolocation and any signature obtained.
  • Provenance of submitted media. Capture metadata, encoding and re-encoding history, error-level analysis, sensor-pattern noise linking an image to a device, and frame-continuity analysis of video submitted as an unbroken recording.
  • Order-session record. Address verification result, network and device characteristics of the session that placed the order, and any prior claims associated with the same account, address, device or payment instrument.

Where the evidence establishes that a claim was knowingly false — including that material other than the material supplied was presented as the contents of a vial — Supplier may recover the sums involved together with the cost of the investigation, close the account, and refer the matter to the relevant card network's fraud program and to law enforcement. Substitution of returned material is reported to the U.S. Postal Inspection Service as mail fraud and to local law enforcement, and the inspection evidence, together with the report numbers, is submitted in response to any payment dispute. Placing substituted, counterfeit or tampered material in the mail to obtain a refund or credit is federal mail fraud (18 U.S.C. § 1341) as well as theft. Under Colorado’s civil theft statute (C.R.S. § 18-4-405), Supplier may recover three times its actual damages together with its reasonable attorney fees and court costs, in the courts named in Section 16. A claim made in good faith that turns out to be mistaken is not that, and is not treated as that.

10.4 Payment disputes, chargebacks, and breach of contract

Buyer agrees to raise any dispute about an order with Supplier, at the address above, and explicitly agrees to exhaust the claims and evidentiary protocols outlined in Sections 10.1, 10.2, and 10.3 before initiating a chargeback or payment reversal with their card issuer.

Waiver of specific chargeback rights: Because this is a B2B commercial transaction, strict evidentiary standards apply.

  • “Not as Described” / Quality claims: Buyer explicitly waives the right to initiate a chargeback under the reason codes “Item Not as Described,” “Defective Merchandise,” or similar designations unless Buyer has first provided a failing analytical report from one of the ten (10) pre-approved laboratories listed in Section 10.2.
  • “Not Received” claims: As established in Section 9, Buyer waives the right to file an “Item Not Received” chargeback if the carrier’s tracking information shows the package was delivered.

Initiating a chargeback in violation of these protocols constitutes a material breach of contract and an act of “friendly fraud.” Where a chargeback is initiated, Supplier responds to the acquirer and issuing bank with the complete evidentiary record for the order: this mutually binding Agreement, the agreement record and IP geolocation logs, the pack-out video and weight record, the carrier’s proof of delivery and scan history, all correspondence, and any analytical work performed under 10.3. Buyer explicitly authorizes Supplier to present this Agreement to the acquiring bank as a legal waiver of Buyer’s right to the disputed chargeback under these circumstances.

Breach and Liquidated Damages: Unjustified chargebacks cause Supplier substantial reputational damage and administrative burden. In the event Buyer initiates a chargeback in breach of these terms, or a chargeback is resolved in Supplier’s favor, Buyer agrees they shall be legally and financially liable to Supplier for: (a) the original transaction amount; (b) a liquidated damages and administrative dispute fee of $250.00 USD per reversed transaction; and (c) all reasonable legal fees, court costs, and collection agency fees incurred by Supplier in recovering the funds. Supplier reserves the right to immediately assign outstanding, unlawfully charged-back debts to a third-party commercial collections agency, report the business to commercial credit bureaus, refer the matter to the card network’s fraud division and law enforcement, and permanently decline to supply Buyer further.

Nothing in this section limits any right Buyer holds under the rules of its card network or under applicable law, but Buyer accepts full contractual liability for damages if those network processes are used in breach of this commercial contract.

11. Limited warranty and disclaimer

Supplier warrants only that, at the time of shipment, product conformed to the specification stated on the certificate of analysis for that lot. This is the sole warranty given. Buyer's exclusive remedy for breach is, at Supplier's option, replacement of the non-conforming quantity or refund of the price paid for it.

EXCEPT AS EXPRESSLY STATED ABOVE, PRODUCT IS SUPPLIED "AS IS" AND SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUPPLIER MAKES NO REPRESENTATION THAT ANY PRODUCT IS SAFE OR EFFECTIVE FOR ANY USE IN HUMANS OR ANIMALS.

12. Limitation of liability

Supplier's total liability arising out of or relating to any order will not exceed the amount Buyer paid for the specific product giving rise to the claim. Supplier is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, business interruption, recall costs, or regulatory penalties, even if advised of the possibility. Nothing in these terms excludes liability that cannot lawfully be excluded.

13. Indemnity

Buyer will defend, indemnify, and hold harmless Supplier and its officers, employees, and agents against all claims, damages, penalties, and costs, including reasonable legal fees, arising from Buyer's handling, use, storage, labeling, marketing, or resale of product, from any claim made on Buyer's label or in Buyer's marketing, from Buyer's failure to verify material, and from Buyer's breach of these terms or of any applicable law.

14. Compliance and export

Buyer is responsible for determining and complying with every law and regulation applicable to its purchase, possession, handling, and resale of product in every jurisdiction in which it operates, including controlled substance, import, export, licensing, labeling, and advertising law. Buyer will not export, re-export, or divert product in violation of applicable export control or sanctions law. Supplier may report suspected misuse to the relevant authorities.

15. Force majeure

Supplier is not liable for failure or delay caused by events beyond its reasonable control, including supply interruption, carrier failure, regulatory action, labor disruption, natural events, and utility or network failure.

16. Governing law and disputes

These terms are governed by the laws of the State of Colorado, United States, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado. The UN Convention on Contracts for the International Sale of Goods does not apply.

Who is bound, and where. Both the purchasing entity and the individual who places or authorizes an order consent to personal jurisdiction and venue in the state and federal courts located in Denver County, Colorado, including the small claims division of the Denver County Court, and to service of process by certified mail to any address given for the account or the order. Each waives any objection to that jurisdiction, that venue and that manner of service.

Personal liability. The individual who places an order represents that they have authority to bind the purchasing entity. That individual is personally liable, jointly and severally with the entity, for any claim arising from their own fraud, theft, substitution of goods or misrepresentation, including civil theft under C.R.S. § 18-4-405. Dissolving or abandoning the entity does not release them.

Commercial capacity. Every purchase is made in a commercial capacity, as Buyer represents at the door and at checkout, and not as a consumer. An individual who misrepresents that capacity to obtain material may not rely on that misrepresentation, or on any consumer venue or consumer protection provision it would otherwise attract, to avoid this section; the misrepresentation is itself actionable as fraud in the inducement.

Enforcement. Supplier may enforce any judgment by any lawful means, including garnishment of bank, payment-app and payment-processor balances, garnishment of wages, and liens on real property, and recovers its reasonable attorney fees, court costs and costs of collection. Judgments bear interest at the rate provided by law.

17. General

These terms, together with Supplier's order acknowledgement, are the entire agreement and supersede prior discussions. If a provision is unenforceable, the rest remains in force. Supplier may update these terms; the version in force at the date of order acknowledgement applies. Buyer may not assign without Supplier's written consent.

18. Privacy

Supplier collects the business and contact information submitted through account applications, quote requests, and enquiry forms, and uses it to assess eligibility, fulfil orders, and communicate about supply. Supplier shares it with payment processors, carriers, email and hosting providers, and other service providers as needed to do that, and retains it for five (5) years or as long as needed to fulfil orders and meet legal obligations, whichever is longer. Requests about your data go to sales@lyotide.com.

20. Terms of use (this website)

Sections 1–19 above govern the sale of goods. This section governs use of the website itself, and applies to everyone who visits it, whether or not they ever place an order.

The catalog, specifications, strengths, and prices published here are provided for information and may change without notice. A published price is an invitation to order, not an offer capable of acceptance; the price that binds is the one on Supplier's order acknowledgement. Supplier does not warrant that the site is uninterrupted, error-free, or that any specification shown is complete or current.

The site's text, layout, photography, and catalog compilation belong to Supplier. You may read, print, and share pages for the purpose of evaluating supply. You may not scrape, republish, resell, or present the catalog as your own, and you may not use the site to gain unauthorised access to any account, to interfere with its operation, or for any unlawful purpose.

The entry attestation is a statement you make about who you are and what you are buying for. Making a false statement there voids any resulting sale and may end your account.
